Welcome to Pasolivo. These Terms of Service ("Terms") govern your access to and use of the Pasolivo website, online store, products, services, and related features (collectively, the "Services").

The Services are operated by Pasolivo ("Pasolivo," "we," "us," or "our"). Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer our products and services to you.

Your order is not accepted until we have confirmed your order and received payment. We may be unable to accommodate cancellation requests after an order has been accepted or processed.

If we are unable to accept, modify, or cancel an order, we will attempt to notify you using the email address, billing address, telephone number, or other contact information provided with your order.

You represent and warrant that purchases made through our Services are for personal or household use and are not intended for unauthorized commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice. The price charged for a product will generally be the price displayed at the time the order is placed and confirmed in your order confirmation.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping, handling, customs, or import charges.

Prices available through our website may differ from prices offered at Pasolivo physical locations or through third-party retailers.

We may offer promotions that are subject to additional terms and conditions. If the terms of a promotion conflict with these Terms, the promotion-specific terms will control for that promotion.

You agree to provide accurate, complete, and current billing, payment, shipping, and account information for all purchases made through our Services. You agree to promptly update your information as necessary so that we can complete your transactions and contact you when needed.

You represent and warrant that:

  1. the payment information you provide is true, accurate, and complete;

  2. you are authorized to use the payment method provided;

  3. charges incurred by you will be honored by your payment provider; and

  4. you will pay all charges incurred at the applicable prices, including shipping, handling, and applicable taxes.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery dates are estimates only and are not guaranteed. Pasolivo is not responsible for delays caused by shipping carriers, weather, customs processing, supply issues, or other circumstances outside our reasonable control.

Once products are transferred to the applicable carrier, title and risk of loss may pass to you to the extent permitted by applicable law and the terms of the carrier.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and all materials made available through them, including trademarks, logos, brand names, text, product descriptions, photographs, images, graphics, designs, videos, audio, product reviews, written content, and the selection and arrangement thereof, are owned by Pasolivo, its affiliates, or its licensors and are protected by applicable intellectual property laws.

These Terms permit you to access and use the Services for your personal, non-commercial purposes only.

Except as expressly permitted by these Terms or with our prior written consent, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or otherwise exploit materials from the Services.

Pasolivo's names, logos, product names, service names, designs, slogans, and other brand elements are trademarks or trade dress of Pasolivo or its affiliates or licensors. You may not use them without our prior written permission.

Shopify's name, logo, product names, service names, designs, and slogans are trademarks of Shopify. All other third-party names, logos, product names, service names, designs, and slogans appearing on the Services belong to their respective owners.

All rights not expressly granted in these Terms are reserved by Pasolivo.

SECTION 7 - THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to or functionality provided by third-party websites, applications, services, or platforms.

We do not control and are not responsible for the content, policies, security, availability, or practices of third-party websites or services. If you choose to access third-party websites or services, you do so at your own risk.

Your use of third-party websites and services may be subject to additional terms and privacy policies established by those third parties. You should review those terms and policies before using or engaging with third-party services.

SECTION 8 - SHOPIFY

Our online store is hosted by Shopify, which provides the e-commerce platform through which we offer our products and services.

Your purchases from Pasolivo are transactions between you and Pasolivo. Shopify is not responsible for the products, services, transactions, fulfillment, or customer service provided by Pasolivo.

Your use of Shopify's underlying technology may also be subject to Shopify's applicable terms and policies.

SECTION 9 - PRIVACY

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.

By using the Services, you acknowledge that you have reviewed our Privacy Policy.

Because our online store is hosted by Shopify, Shopify may collect and process certain information relating to your use of the Services in accordance with its own applicable policies and agreements.

SECTION 10 - RCS MESSAGING TERMS

Pasolivo RCS Messaging Program

By opting in to receive Rich Communication Services ("RCS") messages from Pasolivo, you agree to receive recurring automated messages from Pasolivo RCS Messaging at the mobile number you provided.

The Pasolivo RCS Messaging program may include customer service communications, order and shipping updates, product information, promotions, special offers, event information, and other marketing or informational messages related to Pasolivo.

Message frequency varies. Message and data rates may apply.

You may opt out of recurring RCS messages at any time by replying STOP to the message. After you send STOP, you will receive a confirmation message and will no longer receive messages from the applicable Pasolivo RCS Messaging program unless you subsequently opt back in.

Consent to receive marketing messages is not a condition of purchasing any product or service from Pasolivo.

If you change or deactivate your mobile telephone number, please update your messaging preferences or opt out of the messaging program associated with your previous number.

Wireless carriers are not liable for delayed or undelivered messages.

RCS messaging availability may vary by device, mobile carrier, operating system, geographic location, and other factors outside Pasolivo's control.

Your participation in the Pasolivo RCS Messaging program is also subject to our Privacy Policy.

SECTION 11 - FEEDBACK AND USER CONTENT

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, photographs, testimonials, proposals, plans, or other content to Pasolivo (collectively, "Feedback"), you grant Pasolivo a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback in any medium for any lawful purpose, including operating, improving, evaluating, promoting, and marketing the Services.

You represent and warrant that:

  1. you own or otherwise have all rights necessary to provide the Feedback;

  2. you have disclosed any compensation, incentives, or other material connection associated with your submission, where required by law;

  3. your Feedback does not violate these Terms; and

  4. your Feedback does not violate the rights of any third party.

You agree that your Feedback will not contain unlawful, defamatory, abusive, obscene, threatening, fraudulent, misleading, or otherwise objectionable material or malicious software.

You may not use a false email address, impersonate another person or entity, or otherwise misrepresent the origin of Feedback.

We may, but have no obligation to, monitor, edit, restrict, or remove Feedback that we determine, in our discretion, violates these Terms or applicable law.

Pasolivo is not responsible for Feedback posted or submitted by you or any third party.

SECTION 12 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on or through the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping charges, transit times, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to update or change information or cancel orders if any information is inaccurate, including after an order has been submitted.

SECTION 13 - PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services:

  1. for any unlawful, fraudulent, or malicious purpose;

  2. to violate applicable federal, state, local, or international laws or regulations;

  3. to infringe upon the intellectual property or other rights of Pasolivo or any third party;

  4. to harass, abuse, threaten, defame, intimidate, or harm any person;

  5. to submit false or misleading information;

  6. to transmit or distribute unlawful, harmful, or malicious material;

  7. to send spam, chain letters, or unauthorized solicitations;

  8. to impersonate another person or entity;

  9. to upload or transmit viruses, malware, or other malicious code;

  10. to reproduce, duplicate, copy, resell, or exploit any portion of the Services without authorization;

  11. to collect or track personal information belonging to others without authorization;

  12. to engage in phishing, pharming, spidering, crawling, scraping, or similar activities; or

  13. to interfere with or circumvent the security features of the Services or any related website, service, or network.

We reserve the right to suspend, disable, or terminate access to the Services if we determine that you have violated these Terms or applicable law.

SECTION 14 - TERMINATION

We may terminate or suspend your access to the Services, or any portion thereof, at our discretion and to the extent permitted by applicable law.

Termination does not relieve you of any obligations or liabilities incurred before termination.

The provisions of these Terms that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions.

The information provided through the Services is made available for general informational purposes. We do not warrant that such information is accurate, complete, current, or suitable for any particular purpose. Any reliance on information provided through the Services is at your own risk.

WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

SECTION 16 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PASOLIVO AND ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PURCHASE OR USE OF PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, PASOLIVO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PASOLIVO FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

SECTION 17 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pasolivo and its affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising out of or related to:

  1. your breach of these Terms;

  2. your violation of applicable law or the rights of another person or entity; or

  3. your access to or use of the Services.

Pasolivo may assume control of the defense of any matter subject to indemnification, in which case you agree to cooperate with Pasolivo in the defense of the claim.

SECTION 18 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law and the unenforceable portion will be severed from these Terms.

The invalidity or unenforceability of any provision will not affect the validity or enforceability of the remaining provisions.

SECTION 19 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Pasolivo concerning your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals concerning the same subject matter.

SECTION 20 - ASSIGNMENT

You may not transfer, assign, or delegate these Terms or any rights or obligations under them without our prior written consent.

Pasolivo may assign, transfer, or delegate these Terms or any of its rights or obligations without your consent to the extent permitted by applicable law.

SECTION 21 - GOVERNING LAW

These Terms and any separate agreements through which we provide Services to you will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, you and Pasolivo consent to the jurisdiction and venue of the state and federal courts located in or serving San Luis Obispo County, California, for disputes arising out of or relating to these Terms or the Services.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect the meaning of any provision.

We reserve the right, in our discretion, to update, change, or replace any part of these Terms by posting revised Terms on our website. It is your responsibility to periodically review these Terms for changes.

If we make material changes, we will provide notice as required by applicable law. Unless otherwise stated, revised Terms become effective when posted.

Your continued use of or access to the Services after revised Terms become effective constitutes acceptance of the revised Terms.
